We are a closed-end, externally managed, non-diversified management investment company that has elected to be regulated as a business development company under the Investment Company Act of 1940. In addition, we have elected to be treated as a regulated investment company for U.S. federal income tax purposes.
Our investment activities are managed by our investment adviser, Oaktree Fund Advisors, LLC, an affiliate of Oaktree Capital Management, L.P. (“Oaktree”). Oaktree and its affiliates have served as our investment adviser since October 17, 2017.

We have elected to be treated as a regulated investment company (“RIC”) under the Internal Revenue Code of 1986, as amended. As long as we qualify as a RIC, we will not be taxed on our investment company taxable income or realized net capital gains, to the extent that such taxable income or gains are distributed, or deemed to be distributed, to stockholders on a timely basis.
To maintain RIC tax treatment, we must, among other things, distribute, with respect to each taxable year, at least 90% of our investment company taxable income (i.e., our net ordinary income and our realized net short-term capital gains in excess of realized net long-term capital losses, if any).
As a regulated investment company, we generally do not pay income taxes on our earnings at the corporate level, but pass our income through to shareholders in the nature that it was earned. Therefore, a portion of our dividend is usually taxable to our shareholders at their ordinary income tax rates and a portion may qualify for the long-term capital gains tax rates. We have adopted a dividend reinvestment plan that provides for reinvestment of our dividends on behalf of our stockholders, unless a stockholder elects to receive cash.
No action will be required on the part of a registered stockholder to enroll and have his or her cash distributions reinvested in shares of our common stock.
